Partner Program Terms

These Partner Program Terms ("Partner Terms") govern participation in the MarcoHire Partner Program (the "Program"), operated by MarcoHire ("we," "us," or "our"). By applying to the Program, being accepted into it, or using a referral link issued through it, you ("Partner" or "you") agree to these Partner Terms. If you do not agree, do not apply or use a referral link.

The Program is invite-and-approval based, not open signup. We may accept or decline any application at our sole discretion and are not required to give a reason.

1. Relationship to Our Other Terms

Our Terms of Use and Privacy Policy also apply to your use of the Site and the Program. Where these Partner Terms conflict with the Terms of Use on a matter relating to the Program, these Partner Terms control.

The Program's partner portal, tracking, dashboard, and payouts are provided through Dub (dub.co). By joining the Program you also agree to Dub's applicable partner terms and privacy policy, and you must complete Dub's payout onboarding before you can be paid.

Recruiting engagements between MarcoHire and the companies you refer are governed by a separate Recruiting Services Agreement with that company. You are not a party to that agreement.

2. Eligibility

To participate in the Program you must:

• Be at least 18 years of age and have the legal capacity to enter into a binding contract
• Provide accurate identity, business, tax, and payment information, and keep it current
• Not be a direct competitor of MarcoHire, which includes any business that recruits, places, or staffs remote or offshore talent, and any media property owned by such a business
• Not be a current MarcoHire employee or contractor, or a candidate placed by MarcoHire referring your own employer
• Comply with all applicable laws, including advertising and endorsement disclosure requirements

We maintain a list of excluded organizations and may decline or remove any Partner who appears on it.

3. Referral Links and Attribution

On approval you receive a unique referral link and access to a real-time dashboard. Your dashboard is the system of record for clicks, leads, placements, tier, and earnings.

Tracking. When a company clicks your link and subsequently submits a form or books a discovery call with MarcoHire, that company is tagged to you as a referral.

Attribution window. Attribution is first-click on a 90-day cookie window. If a company clicks your link and engages MarcoHire within 90 days, the referral is credited to you. If the window lapses with no qualifying activity, attribution reopens and a subsequent Partner's click may take credit.

Overlapping referrals. Where more than one Partner has referred the same company, the first link clicked inside a live 90-day window receives credit. This rule is published in advance so that it is knowable rather than decided after the fact.

Manual attribution. If your referral does not use your link, send us the company name when you make the introduction and we will attribute it manually. Where a company inquires from one email address and pays from another, or pays by a method our tracking cannot match automatically, we will match the referral on review. If you believe a referral of yours was missed, contact us and we will investigate. Manual adjustments are recorded in your dashboard.

4. Commissions

Commission is a fixed dollar amount per placement, determined by your tier:

Placement. A "placement" occurs, and a commission is generated, when a candidate placed by MarcoHire with a company you referred starts work and MarcoHire has charged that company for the hire.

12-month earning window. You earn on every placement a referred company makes for 12 months from that company's first placement, not on the first placement alone. Each referred company has its own independent 12-month window, which starts on the date of that company's first placement, not the date they clicked your link.

Tier. Your tier is determined by your cumulative placement count across all referred companies combined, not by revenue. Commission is marginal: each placement is paid at the rate of the tier in force when that placement occurs, and earlier placements are not retroactively repriced when you reach a higher tier.

Tiers are permanent. Once you reach a tier you keep it. We do not reset tiers at the end of a year and we do not demote Partners for inactivity.

5. What Your Referral Receives

Every company referred through your link receives $500 off their first hire, regardless of your tier. The discount is attached to your link and applied automatically as a credit on the company's first-hire invoice; there is no code to enter. Subsequent hires by that company are at standard rates. The discount does not come out of your commission.

Pass-through option. A Partner may elect to take no commission, in which case the referred company's first-hire discount is doubled to $1,000. This option is offered for advisors, fractional executives, investors, and accelerators who prefer not to take a fee on a referral to a company they advise or hold an interest in. You may choose it when you apply or at any time afterwards by notifying us in writing; the election applies to referrals made after we confirm it.

6. Bonuses and Additional Incentives

Bonuses stack on top of commission and do not replace it.

• First-referral bonus. $250 if your first referral results in a placement within 60 days of your approval date.
• Quarterly creator contests. We may run quarterly contests with cash prizes for promotional content such as posts, videos, and case studies. Contest rules, categories, and prize amounts are published each quarter, and winners are selected at our discretion.
• Action bonuses. We may offer bonuses at our discretion for specified promotional activity, for example a publicly posted video testimonial that tags MarcoHire. Payment is subject to our review and approval of the content.
• Custom terms. We may agree to bespoke commercial terms with individual Partners, including editorial and review sites, in a separate written agreement. Where such an agreement conflicts with these Partner Terms, the separate agreement controls.

7. Payment

• A commission is generated when a placement occurs as defined in Section 4.
• Each commission clears a 30-day holding period before it becomes payable. This period covers cancellations, chargebacks, and payment failures.
• Payable commissions are paid bi-weekly, on the 1st and the 15th of each month.
• There is no minimum payout threshold.
• Payment is made by PayPal, Stripe Connect, or ACH, at your election, through the Program's payout provider.
• In practice, payment lands roughly 30 to 45 days after your referral's new hire starts.

You are responsible for all taxes on amounts you receive. Before your first payout you must provide the tax documentation we or our payout provider request (for example a Form W-9 for U.S. persons or a Form W-8BEN for non-U.S. persons). We may withhold or delay payment until valid documentation is on file.

You participate in the Program as an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership, franchise, or joint venture relationship, and you have no authority to bind MarcoHire.

8. No Clawbacks

Once a placement occurs, your commission is yours.

If a placement ends within MarcoHire's six-month guarantee period, MarcoHire will re-recruit for the client at no charge and your commission is not recovered from you. We will let you know when this happens.

This Section does not apply to commissions arising from fraud, self-referral, or the prohibited conduct described in Section 9, which may be withheld or recovered.

9. Prohibited Conduct

You may not:

• Bid on MarcoHire-branded keywords in paid search, including any close variant or misspelling. We may block tracking from specified traffic sources.
• Self-refer, or refer any entity you own, control, or are employed by, without our prior written approval.
• Use spam, unsolicited bulk email, or any method that violates applicable anti-spam law.
• Misrepresent MarcoHire's pricing, guarantee, vetting process, or results, or make earnings or outcome claims that MarcoHire has not published.
• Represent yourself as an employee, agent, or authorized representative of MarcoHire.
• Register domains, social media handles, or app listings containing "MarcoHire," "Marco Hire," or confusingly similar terms.
• Use MarcoHire trademarks, logos, or assets other than as supplied in the partner asset kit, or after your participation ends.
• Place your referral link on coupon, deal, cashback, or incentivized-traffic sites.
• Promote MarcoHire without clearly disclosing that you may receive compensation for referrals, where such disclosure is required by law or platform rules (for example, FTC endorsement guidelines).

Breach may result in withheld commissions, removal from the Program, or both.

10. Trademark License and Partner Assets

For as long as you participate in the Program, we grant you a limited, non-exclusive, non-transferable, revocable license to use the MarcoHire name, logos, and the materials in the partner asset kit solely to promote MarcoHire in accordance with these Partner Terms. We may update the asset kit or withdraw any asset at any time. All goodwill arising from your use of our marks accrues to MarcoHire. This license ends automatically when your participation ends.

11. Changes to the Program

We may change these Partner Terms, commission rates, tier thresholds, bonuses, or the structure of the Program at any time. When we do, we will revise the "Effective Date" at the top of this page, and we will communicate material changes to active Partners in advance.

Changes apply prospectively only. Commissions already generated are unaffected.

You will not be demoted from a tier you have reached. If tier thresholds change, Partners already at a tier keep it.

Your continued participation after a change takes effect constitutes acceptance of the updated Partner Terms.

12. Term and Termination

Either party may end participation at any time on written notice. We may also remove you from the Program immediately for breach of these Partner Terms.

On termination for any reason, commissions already generated and not disqualified under Section 9 remain payable on the normal schedule. Your referral link is deactivated and you must stop using MarcoHire trademarks and assets.

If you leave the Program voluntarily, you continue to earn on placements made by companies you had already referred for the remainder of each company's 12-month earning window. If we remove you for breach, the earning window ends on the date of removal.

13. Confidentiality and Data

As a Partner you may receive non-public information, including pricing, client names, candidate details, and Program performance data. You agree not to disclose that information or use it for any purpose other than promoting MarcoHire under the Program. This obligation survives termination.

You must handle any candidate or client personal data you encounter in accordance with applicable privacy law and our Privacy Policy. We may require Tier 2 and above Partners who receive Slack access or co-branded pages to sign a separate confidentiality agreement.

14. No Guarantees

We do not guarantee that any referral will result in a placement, that any company will hire, or that you will earn any particular amount. Earnings examples and calculators on our website are illustrative only and are not a promise of results.

15. Limitation of Liability

To the fullest extent permitted by law, MarcoHire and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunities, arising out of or related to the Program or these Partner Terms, regardless of the cause of action or the theory of liability.

MarcoHire's total liability to you arising out of or related to the Program shall not exceed the commissions paid or payable to you in the twelve months preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless MarcoHire and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your promotional activities, your violation of these Partner Terms, your violation of any law, or your violation of any rights of a third party.

17. Severability

If any provision of these Partner Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Partner Terms, together with our Terms of Use, our Privacy Policy, and any separate written agreement under Section 6, constitute the entire agreement between you and MarcoHire regarding the Program and supersede any prior discussions or representations.
